    Why Purchase a Ready-Made Company in Serbia?

    It is a good idea to buy a ready-to-use company in Serbia if it is in line with your specific goals, so the answer to that question would be individual. However, there are universal benefits for international entrepreneurs that Serbia can offer, so let’s look at these:

    • If you start your business in Serbia, you will have the right to easily get a local residence permit
    • Buying a ready-made company means that you will start running your business in a few hours (!) or a few days at the most
    • Serbian companies get access to 1.1 million potential clients all over the world on a duty-free basis
    • It will take much less time than establishing a company from scratch in Serbia
    • Bank deposits that do not exceed 50,000 euros have full coverage, which means that they are returned even if the bank fails
    • The cost of Serbian company maintenance is not very high and starts from 250 euros a month
    • The ready-made company comes with a fully functional bank account
    • Serbia boasts a robust banking sector that takes advantage of numerous correspondent accounts and has a lot of experience in dealing with different financial products

    Serbian Company: Requirements

    There is no minimum authorized capital set, so you can start your company with just 1 euro in your pocket!

    A Serbian company can be owned by an individual or legal entity residing in Serbia or elsewhere.

    The company can have 1 owner and 1 director, and the latter position can also be taken by a non-resident individual.

    You are liable for a corporate tax (15%).

    The company you can buy must have a registered legal address and keep accounting records. You will need about 250 euros a month to rent an office and pay for the local accountant’s services.

    You can either visit Serbia personally to re-register the business in your name or provide a limited power of attorney to us which will make it possible to do the same remotely.

    All corporate and personal documents have to be submitted in Serbian.

    As soon as we receive payment for the company, you will be able to start its operation. You will need to change the owner in the Serbian register over 1 month to take advantage of free fiduciary service for company management. If you fail to do so, you will need to pay 1% of the incoming turnover for the fiduciary services.

    Documents

    You will need to provide your name and address before you sign a contract and become the owner of a ready-to-operate Serbian company.

    At the stage of company re-registration in your name, you will need to provide the following documents:

    For legal entities:

    • The original extract from the business registered (apostilled and translated into Serbian) and some other documents depending on the jurisdiction where the company is established.

    For individuals:

    • A signed power of attorney if you want to complete the procedure online
    • A passport copy
    • Proof of your address of residence

    Changing ownership will take no more than one month. All you need is to send the documents to us! As soon as we receive the package, it will be translated into Serbian and submitted to the register to show that the company is changing its owner.

    Following that, you will be required to provide the documents to the bank to meet the compliance requirements.

    Here are a few more documents you will need after the company has been reregistered:

    • You will need to submit an agreement on a legal address concluded with us or a third party.
    • You will have to activate the digital signature to be used by the accountant.
    • You will sign an e-services authorization form to enable the accountant to prepare and send reports to the tax office.
    • You will also sign a service contract with an accountant (we can provide a specialist if you want – or you can engage a third party).

    The accountant will submit reports on mandatory contributions (such as pension funds, social contributions, and health insurance), as well as annual reports.
